Every diligence finding traced back to its source
Financial, operational and human capital teams all work from the same data room and the same management team. Ontu keeps the correspondence, calls and requests together and drafts a cited first answer to each.
Three problems this buyer knows well
A long request list and a short clock
Diligence request lists run to hundreds of items, and management's answers arrive in no particular order, spread across email, calls and the data room.
Every number needs a source
A finding that can't be tied to a document gets challenged, so analysts spend hours tracing figures back to their origin instead of analyzing them.
Several workstreams, one management team
Financial, operational and human capital teams each ask for overlapping information, and the same question gets answered more than once, sometimes differently.
Every workstream a diligence team runs
Transaction advisory teams run several workstreams in parallel against one data room. The subject matter differs from one to the next, but the work looks alike: requests, answers, sources and follow-ups.
Financial due diligence and quality of earnings
Quality of earnings work turns on adjustments, and every adjustment needs a source. Ontu reads the documents in the data room as they arrive, answers the deal team's questions with the supporting reference attached, and flags any adjustment it can't trace to a document.
Net working capital assessment
Peg discussions generate a steady run of questions about seasonality, definitions and one-off items. Correspondence with management and the other side's advisors stays in one place, replies are drafted from the monthly figures on file, and open requests are tracked by component.
Operational due diligence
Operational reviews depend on site visits, management interviews and a long tail of follow-up requests. Ontu summarizes each interview, turns the commitments into tracked tasks with owners, and drafts the follow-up requests for the team to review.
Human capital diligence
Headcount data, compensation, retention risk and key-person questions arrive from HR and management in pieces. Each response is kept against the document it relied on, and the management sessions are summarized so the findings reach the whole team.
Diligence analytics
Analytics requests land mid-process and change as the data room fills. Ask a question about the data and Ontu answers from across documents, emails and calls, or drafts a first-pass Excel analysis with every assumption listed and linked to its source.
Valuation and sensitivity analysis
Valuation work draws on the model, management's projections and the diligence findings, usually from different places. Ontu gathers the inputs with their sources and drafts a first-pass workbook. The assumptions and the sensitivities stay with the analyst who owns them.
Synergy and value quantification
A synergy case is built from many small claims from both sides. Ontu tracks each claim against its supporting document and its owner, so the number that reaches the steering committee can be traced back.
Buy-side and vendor diligence
The same structure works from either side of the table. Buy-side teams answer to the deal team and its lenders, and vendor diligence teams answer to prospective buyers' advisors. Each engagement gets its own workspace, and a person reviews and sends every message.
The deal team asks for the working capital bridge at 5pm. A draft is ready by 5:01pm.
- 01
The question arrives in the deal's project mailbox, and Ontu reads the thread along with the earlier peg discussions.
- 02
It drafts a reply from the monthly balance sheets and management accounts in the data room, citing each document.
- 03
One reclassification can't be tied to any document, so it's flagged for the analyst instead of assumed.
- 04
Whenever the analyst is free, they confirm the flag with management, adjust the draft and send it from their own address.
A person reviews and sends every outbound message. Ontu does the first pass.
